Terms of Service

Counsel review pending. Structural skeleton; final wording before public launch (Spec §1.4).

1. Parties

These Terms govern the agreement between Deena (the operator, DEENA_LEGAL_TODO entity) and the Customer (a halal butcher shop or similar food business creating a tenant on Deena).

2. Service

Deena provides a SaaS that helps the Customer:

• Receive and reply to customer messages on WhatsApp
• Track orders through a pipeline
• Maintain a knowledge base of products, prices, certifications, and cultural calendars
• Sync the public shop profile to Google Business Profile (Pro tier)

3. Account

The Customer creates a tenant by registering at deena.pro/register. The owner accepts these Terms, the Privacy Policy, and the DPA at registration. Re-acceptance is required when a version is bumped.

4. Subscription & billing

Detail per /pricing and the DPA. A 14-day free trial is included; the chosen plan begins at trial end. Failure to collect payment puts the tenant in past_due for 7 days, then read_only, then cancellation. Detail in plan/cross-cutting/billing-stripe.md §4.

5. Acceptable use

DEENA_LEGAL_TODO: acceptable-use policy — prohibition of spam, unlawful content, abuse of customer data, etc.

6. WhatsApp & Meta terms

Use of the WhatsApp connection is subject to Meta's Business Solution Provider terms. The Customer is the "business" in WhatsApp's sense; Deena is the BSP-equivalent technology provider.

7. Liability

DEENA_LEGAL_TODO: standard SaaS liability cap, force majeure clause, review by counsel.

8. Termination

Either party may terminate at any time per the cancellation flow in /app/settings/billing. After cancellation:

• Day 0–30: read-only access continues
• Day 30: data export becomes available
• Day 60: GDPR erasure of all customer data

9. Governing law & jurisdiction

DEENA_LEGAL_TODO: governing law clause + competent court.
